A crucial question in the investor's evaluation and decision making process is the Pre-Money Valuation, or the value of the company at the time a new investment is made. 

 

All too often, the CEO and CFO stumble at this point with vague and uninformed responses demonstrating a lack of knowledge of an investor's perspective, quantification of risk as well as market conditions/valuations for companies in a similar sector and stage of development. 

 

This session will address the valuation methodology, Pre-Money and Post Money Capitalization (Cap) tables, investor preferences such as liquidation preferences; trade offs in negotiating the Pre-Money valuation and scenarios for managing investor expectations.

 

Guest Speakers: 

 

Bill Shetti, Storm Ventures

Bill is a Senior Associate at Storm Ventures. He focuses on investments in cloud computing, energy efficiency, and the network and data center infrastructure sectors. Prior to Storm, Bill worked in business development and product management at Cisco, where he was responsible for managing Cisco’s high end routing platforms, including launching Cisco CRS-1, Cisco’s flagship router, and market insertion strategies into Asian service providers. Prior to Cisco, Bill worked as a product manager at N.E.T. Bill began his career at Telecordia, where he was responsible for leading the development of distributed systems in managing networks, and advising service providers on networking operations.

 

Bill received a B.S. in Electrical Engineering from Rutgers University, and a M.S. in Information Networking from Carnegie Mellon.

 

Jonathan Noble, Partner, Montgomery & Hansen LLP

Jon's practice focuses on the representation of private, emerging growth companies, encompassing entity formations, financing transactions, corporate governance, securities law compliance and mergers and acquisitions. Jon also represents venture capital firms and other investment vehicles in connection with their formations, maintenance and investments, including investments in both primary and secondary transactions. Prior to joining M&H, Jon founded the Noble Law Group in Palo Alto, California, and prior to that he served as an associate in the corporate and securities group of Gunderson Dettmer Stough Villeneuve Franklin & Hachigian, LLP in Menlo Park, California.

 

Jon holds an A.B. from UC Berkeley, an M.B.A. from the Haas School of Business, and a J.D. from Boalt Hall School of Law.
